What the announcement confirms
Wix announced Base44's acquisition on June 18, 2025, with approximately $80,000,000 initial consideration, additional performance-related payments and an approximately $25,000,000 employee-retention arrangement within the initial consideration. We retain the announcement's dollar symbol without conversion. These are transaction figures, not the founder's take-home income.
Our analysis: acquisitions answer different questions
Paid demand, acquisition motives and personal proceeds are separate. Assess product capabilities, buyer needs and terms for the deal; ownership, costs and taxes for individual proceeds. Leave undisclosed information unknown instead of constructing net earnings by subtraction.
Base44 creates apps through natural language. Separate prototypes from continuing service: can users inspect and change outputs, and who owns accounts, data and operating issues? Demonstrations and stable services require different checks. This is our framework, not current product test results.
Team labels cannot span operating stages
Contemporaneous TechCrunch reporting cited Wix confirming eight employees besides the founder. This is historical small-team evidence; post-acquisition organization differs. The deal establishes neither ordinary expected returns nor comparable valuations or exit schedules.
